Use of the Platform

XitWisely provides readiness intake, scoring, routing, and owner education tools. The platform does not provide legal, tax, investment, financing, or valuation advice, and it does not promise a sale, buyer, price, multiple, or transaction outcome.

Account Information

You agree that the information you provide is accurate to the best of your knowledge. XitWisely may use that information to create your readiness profile, calculate preliminary scores, route your business, and follow up about relevant services.

Subscriptions, Billing, and Cancellation

XitWisely offers paid monthly subscription plans, currently including Owner Portal. Paid plans are billed monthly in advance and renew automatically each month until you cancel. By subscribing, you authorize XitWisely and its payment processor to charge your payment method the then-current plan fee (plus any applicable taxes) on each renewal date.

Founding-member pricing. Limited founding-member rates are offered to a capped number of early subscribers on available plans. If you subscribe at a founding rate, that rate is honored for as long as your subscription remains continuously active; if you cancel and later re-subscribe, founding pricing may no longer be available and standard list pricing will apply. We may change list (non-founding) prices for new and renewing subscribers with reasonable notice.

Cancellation. You may cancel at any time from your account’s billing management page. When you cancel, your plan stays active through the end of the period you have already paid for, and you are not charged again afterward; access then returns to the free tier. If a payment fails, we may provide a short grace period before access is suspended.

Refunds. Except where required by law, subscription fees are non-refundable and we do not provide refunds or credits for partial billing periods or unused time.

Payments are processed by Stripe; XitWisely does not store your full card details. Your use of checkout and billing is also subject to Stripe’s terms.

SMS Terms

If you separately opt in to text messages, XitWisely may send recurring SMS messages about your readiness profile, account updates, and follow-up opportunities. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help. Consent to SMS is not required to create an account or use XitWisely.

Educational Guidance, Not Professional Advice

XitWisely provides AI-assisted readiness scores, directional value ranges, roadmaps, and educational guidance. Nothing in the product is a business appraisal, valuation opinion, or legal, tax, accounting, investment, or financial advice, and no advisor-client or fiduciary relationship is created. Estimates are directional, based on information you provide and general industry data, and actual outcomes — including any sale price — may differ materially. Consult licensed professionals before acting on any decision involving your business.

Disclaimer of Warranties

XitWisely is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that scores, estimates, or AI-generated content will be accurate or complete.

Limitation of Liability

To the maximum extent permitted by law, XitWisely and its owners, employees, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business value, or lost opportunities, arising from or related to your use of the service. Our total aggregate liability for any claim relating to the service is limited to the amounts you paid XitWisely in the twelve months before the claim arose, or one hundred dollars if you have paid nothing.

Indemnification

You agree to indemnify and hold XitWisely harmless from claims arising out of your use of the service, your violation of these Terms, or your violation of any rights of a third party, including claims arising from business decisions you make based on information in the product.

Termination

You may stop using XitWisely and cancel your subscription at any time from your account. We may suspend or terminate accounts that violate these Terms, abuse the service, or create risk for other users. Sections that by their nature should survive termination (including limitations of liability) survive.

Governing Law & Disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Tennessee, and you consent to their jurisdiction. Before filing any claim, you agree to contact us at support@xitwisely.com and attempt to resolve the issue informally for thirty days.

We may update these Terms as the product develops. Continued use of XitWisely after an update means you accept the updated Terms.
